1. Acceptance of Terms
By accessing or using Planning Portal ("the Service"), operated at planningportal.app, you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these terms. If you do not agree, you may not use the Service.
2. Description of Service
Planning Portal is a multi-tenant SaaS platform for operations planning, scoping, quoting, and work delivery. The Service consists of three independent modules (PlanningPortal, ServicePortal, and FieldWiki) available via subscription plans. Features and availability may change over time as we improve the platform.
3. Accounts and Registration
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must provide accurate, complete information during registration and keep it up to date. You must notify us immediately of any unauthorised use of your account.
4. Subscription and Billing
Paid features require a subscription. Subscriptions are billed monthly through Stripe. You authorise us to charge the payment method on file for recurring subscription fees. Prices are subject to change with 30 days' notice. Refunds are handled on a case-by-case basis. Free trial periods, if offered, convert to paid subscriptions unless cancelled before the trial ends.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorised access to any part of the Service or its infrastructure
- Interfere with or disrupt the integrity or performance of the Service
- Upload malicious code, viruses, or harmful content
- Reverse-engineer, decompile, or disassemble the Service
- Resell, sublicense, or redistribute the Service without written permission
- Use automated tools to scrape or extract data from the Service
6. Your Data
You retain ownership of all data you upload or create within the Service ("Your Data"). You grant us a limited licence to host, store, process, and display Your Data solely to provide the Service. We will not sell Your Data to third parties. Our handling of personal data is governed by our Privacy Policy.
7. Intellectual Property
The Service, including its design, code, features, and documentation, is owned by Planning Portal and protected by intellectual property laws. These terms do not grant you any rights to our trademarks, logos, or branding. Feedback and suggestions you provide may be used to improve the Service without obligation to you.
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We will endeavour to provide advance notice of planned downtime.
9. Limitation of Liability
To the maximum extent permitted by law, Planning Portal shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Termination
You may cancel your account at any time. We may suspend or terminate your access if you violate these terms or engage in conduct that we reasonably believe is harmful to the Service or other users. Upon termination, your right to use the Service ceases immediately. We will retain Your Data for 30 days after account closure, after which it will be permanently deleted.
12. Changes to These Terms
We may modify these terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes become effective constitutes acceptance of the revised terms.
13. Governing Law
These terms shall be governed by and construed in accordance with the laws of Australia. Any disputes arising from these terms or the Service shall be resolved in the courts of Australia.
